Preamble
BAAXAL SMC (hereinafter “DRIM” or “the Company”), with its registered office in Mexico City, offers its customers services related to the organization and arrangement of travel and hospitality experiences. By contracting any service offered by DRIM, the Customer agrees to and is bound by these terms and conditions.
SECTION ONE. NATURE OF THE SERVICE
1.1 DRIM acts solely as an organizer and intermediary for travel and hospitality experiences, including event tickets, accommodations, transportation, VIP experiences, and related services.
1.2 DRIM is not a direct provider of airlines, hotels, event organizers, or any other third parties; therefore, such services are the responsibility of each respective provider.
SECOND. ACCEPTANCE OF THE TERMS
By contracting any service offered by DRIM, the Customer acknowledges that they have read, understand, and fully accept these terms and conditions, which become binding upon the date of contracting.
SECTION 3. PAYMENTS AND RESERVATIONS
3.1 All reservations are subject to availability and prior confirmation by DRIM.
3.2 A reservation is considered confirmed only when the Customer:
a) pays the full amount for the service, or
b) pays a deposit in accordance with the terms established by DRIM.
3.3 DRIM may request payment in one or more installments and require full payment before the deadline indicated in the quote or in the confirmation notice.
3.4 All payments made by the Client arenon-refundable, unless otherwise expressly agreed in writing.
SECTION 4. CANCELLATION POLICY
4.1Cancellations by the Customer:
a) The Customer is not entitled to a refund in the event of cancellation of their reservation.
b) Any changes requested by the Customer are subject to availability and applicable additional fees.
4.2Cancellations by suppliers:
a) DRIM shall not be liable for cancellations or changes made by airlines, hotels, or any other service provider.
b) In such cases, the cancellation and refund policies of the relevant supplier shall apply.
SECTION 5. SPORTS EVENTS AND EXPERIENCES
5.1 The Customer acknowledges that the dates, times, venues, or participants of sporting events and related experiences are subject to change without prior notice.
5.2 DRIM does not guarantee the presence of specific athletes, sporting results, lineups, or the conduct of specific activities.
SECTION 6. TICKETS AND HOSPITALITY
6.1 Tickets offered are subject to availability and the policies of the event organizers.
6.2 Locations, seats, or access points may be changed for reasons beyond DRIM’s control.
6.3 DRIM does not guarantee access to specific areas or the maintenance of exact VIP experience conditions if service providers alter their services.
SECTION 7. THIRD-PARTY SERVICES
7.1 DRIM acts solely as an intermediary with respect to airlines, hotels, transportation agencies, and other service providers.
7.2 DRIM assumes no liability for delays, cancellations, losses, damages, breaches of contract, or any other circumstances attributable to such providers.
SECTION 8. CHANGES TO THE ITINERARY
8.1 DRIM may make changes to travel itineraries, accommodations, activities, and experiences for operational or logistical reasons, or for reasons beyond its control.
8.2 In such cases, DRIM will endeavor to offer equivalent or similar alternatives, without this constituting any additional liability toward the Customer.
ARTICLE 9. FORCE MAJEURE
9.1 DRIM shall not be liable for any breaches resulting from force majeure or unforeseeable circumstances, such as natural disasters, pandemics, political or social conflicts, event cancellations, or government restrictions.
9.2 In such cases, there shall be no obligation to provide a refund, although DRIM may offer rescheduling or reasonable alternatives.
ARTICLE 10. CUSTOMER CONDUCT
10.1 DRIM reserves the right to cancel the service or remove the Customer from the experience, without the right to a refund, in the event of:
a) inappropriate conduct;
b) failure to comply with internal rules or instructions from staff;
c) any behavior that negatively affects third parties or the operation of the service.
SECTION 11. USE OF IMAGES
The Client authorizes DRIM to use, for promotional and commercial purposes, photographs, videos, and other content generated during the experiences, unless the Client expressly objects in writing.
SECTION 12. BILLING
The Customer must request the issuance of their invoice in a timely and proper manner, providing the correct billing information. DRIM shall not be liable for invoices issued with incorrect information provided by the Customer.
SECTION 13. PRICES AND RATES
13.1 The prices and rates published by DRIM are subject to change without prior notice until the reservation is confirmed.
13.2 Prices are considered final only once DRIM has confirmed the reservation and received the corresponding payment.
SECTION 14. LIMITATION OF LIABILITY
In any event, DRIM’s liability shall be limited to the amount actually paid by the Customer for the contracted services. DRIM shall not be liable for indirect damages, loss of profits, or anticipated profits.
FIFTEENTH. COMMUNICATIONS
Any official notification or communication regarding DRIM's services must be made in writing via:
- Email sent to DRIM's official email address, or
- Other communication channels specifically designated by DRIM.
SECTION 16. JURISDICTION
For the interpretation and enforcement of these terms and conditions, the parties expressly submit to the applicable laws and the competent courts of Mexico City, waiving any other jurisdiction to which they might be entitled by reason of their present or future domicile.
